Dance Your Ass Off Contest

PRELIMINARY INFORMATION: NO PURCHASE NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED. The Dance Your Ass Off contest (the "Contest") begins on June 6, 2009 at 12:01AM ET and ends on August 17, 2009 at 11:59pm ET ("Contest Entry Period"). Entry into this Contest constitutes your acceptance of these Official Rules. All times in this Contest refer to Eastern Standard Time ("ET"). Contest is subject all applicable federal, state and local laws. Oxygen Media will be the sponsor ("Sponsor") of the Contest.

ELIGIBILITY: You must be a legal, permanent U.S. resident physically residing within the forty-eight (48) contiguous United States or the District of Columbia (residents of Hawaii, Puerto Rico, the Virgin Islands, Guam and other US territories are excluded from entry and participation) who is twenty one (21) years of age or older as of the start of the Contest Entry Period. Employees of Sponsor, NBC Universal, Inc., Universal City Development Partners, Ltd., their respective advertising and promotion agencies, their parent, subsidiary and joint venture companies, and members of their immediate families (spouses, and parents, children, siblings and their spouses, regardless of where they live) and members of the households of any of the above (whether or not related) are not eligible to enter or win the Contest. Sponsor reserves the right to exclude anyone convicted of a crime (other than moving violations of a misdemeanor type that did not involve personal injury, drugs or alcohol). Contestants must have nothing in their background that would be an embarrassment to Sponsor, and contestants may not be elected officials or currently running for any political office (local, state or federal). Each contestant must be willing to sign a publicity release and an affidavit attesting that each contestant meets all of the foregoing eligibility requirements at Sponsor's request. Sponsor reserves the right to disqualify contestants for not meeting any of the requirements outlined above or for any other reasons, in Sponsor's sole discretion.

TO ENTER: Entry Instructions: To enter, go to www.youtube.com/danceyourassoff (the "Website") and follow the provided instructions to submit a video of you performing an original dance (referred to herein as, a "Video"). In order to submit the Video you must create a YouTube account and agree to comply with the YouTube Terms of Use. Once you have created a YouTube account, you may visit the Website and sign in to submit your Video. The Video and the YouTube sign in form shall be collectively referred to herein as the "Entry". The Video must be no larger than one hundred (100) MB in size and no longer than sixty (60) seconds in length. If Video exceeds sixty (60) seconds in length, only the first sixty (60) seconds will be judged. All Entries may be submitted for the Contest by signing into YouTube and uploading your Video according to the provided instructions or by taking part in the green screen experience at the Dance Your Ass Off tour ("Tour"). The Tour is scheduled to take place at the following venues on the following days: Virginia-Highland Summerfest in Atlanta, GA on June 6, 2009 from 10am - 8pm; Taste of Charlotte in Charlotte, NC on June 7, 2009 from 11am - 6pm; Universal CityWalk in Orlando on June 12 and 13, 2009 from 9am - 1pm and from 6pm - 11pm; Herald Square in New York, NY on June 29, 2009 from 11am - 7pm; Taste of Chicago in Chicago, IL on July 3, 2009 from 11am - 3pm and July 4, 2009 from 11am - 6pm. All Entries must be submitted online or in-person at the Tour on or before August 17, 2009 at 11:59pm ET. All entries become the property of Sponsor, 75 Ninth Avenue, New York, NY 10011, and will not be acknowledged or returned.

You may enter as many times as you wish during the Contest Entry Period. The same Video may not be used for more than one (1) Entry. Multiple Entries received for any Video will void all such additional Entries, contestants submitting such multiple Entries may be disqualified and only the first eligible Entry featuring such Video will be eligible for entry. Each Video must be original, truthful, unpublished, created solely by the submitting contestant, must not have been submitted in any other competition, and must not infringe upon any rights of any third party, including but not limited to copyright, trademark and right of privacy and publicity. In case of a dispute over the identity of a contestant who submitted a potentially winning Entry, Sponsor reserves the right to deem that the Entry was submitted by the registered YouTube account used to enter.

By entering, you agree that you created the Video and you have any required permissions to submit your Entry subject to the terms of these Official Rules. There must not be any inappropriate or offensive materials in the Video. Entries that are incomplete or garbled are void and will not be accepted. By entering, you agree that the Video and any other portion of your Entry may be broadcast on Oxygen and in promotions and advertisements for the show Dance Your Ass Off ("Show") in any and all media now or hereafter known throughout the world in perpetuity without additional notification, permission, approval, or compensation.

Past experience has confirmed that contests and other competitions generate substantially similar submissions or entries that closely resemble concepts and ideas that have been independently developed by Released Parties (as defined below) before or after the Contest. Accordingly, contestants may subsequently see a Released Party presentation that seemingly incorporates an idea or concept or includes materials similar to that contained in their Entry. Any similarity is purely coincidental and unavoidable in light of the volume of ideas that Released Parties routinely consider in the course of their business development.

By entering the Contest, contestant grants Sponsor the non-exclusive, royalty-free, and irrevocable right to use, reproduce, copy, publish, display, distribute, perform, translate, adapt, modify, edit (including for length) and otherwise exploit the contestant's Video (or any portions thereof) and to incorporate the Video (or any portions thereof) in other works in any and all markets and media now or hereafter known worldwide in perpetuity without additional compensation, notification, permission or approval. Contestants warrant that they have the sole and exclusive right to grant such rights to Sponsor and that Sponsor's reproduction, publishing, displaying, and/or other use of their Entry, or any portions thereof, will not infringe on any rights of third parties, including, without limitation, copyright, trademark, privacy, or publicity, or create claims for false light, idea misappropriation, intentional or negligent infliction of emotional distress, defamation, or breach of contract. Any Video containing material that is violent, pornographic, obscene, illegal, inappropriate, or racially or morally offensive or that does not comply with these Official Rules or meet Sponsor's standards for any reason, as determined by Sponsor in its sole discretion, will be rejected as ineligible for consideration. Entries must comply with all applicable laws, rules, and regulations. Contestant also warrants that he/she has obtained written permission when photographing/filming on private property not owned or controlled by contestant, where such permission is required. Upon request, you must provide Sponsor with signed releases from the owners of any private property where you photographed/filmed. Sponsor shall have no obligation to copy, publish, display, or otherwise exploit the Videos (or any portions thereof).

SELECTION AND NOTIFICATION OF THE WINNER: On or about August 21, 2009, each Entrant's Video(s) (or portion(s) thereof), and any other relevant information as determined by Sponsor in its sole discretion, will be judged by a panel of judges ("Judges") based on the following judging criteria: originality (33.3%), presentation (33.3%), and creativity (33.4%) ("Judging Criteria"). The Entrant with the highest score as determined by the panel of Judges will be the potential winner ("Winner") subject to verification of eligibility. The Winner will be awarded the prize ("Prize"). In the event of a tie the tied Entrants will be judged by an additional tie-breaking judge, using the Judging Criteria, to determine which of the tied Entrants will be the Winner. Decisions of Sponsor and Judges are final and binding with respect to all matters related to the Contest. Potential Winner will be notified by email and/or phone and may be required to execute and return an affidavit of eligibility, release of liability, and, except where prohibited, publicity release (collectively, "Contest Documents") within two (2) days of such notification. Noncompliance within this time period, with these Official Rules or the return of or inability to deliver any prize/prize notification may result in disqualification and, at Sponsor's sole discretion, and time permitting, the runner-up Entrant with the next highest score as determined by the Judges may be selected as an alternate potential Winner. Sponsor reserves the right to pick no potential Winner, or to extend the Contest Period if in its sole discretion, Sponsor does not receive a sufficient number of eligible and qualified Entries.

PRIZE: There will be one (1) Prize awarded consisting of a trip to Universal Orlando® Resort in Orlando, Florida for Winner and a guest ("Guest"). The trip will include the following: 1). round-trip coach class domestic air transportation for Winner and Guest from a major U.S. gateway airport nearest Winner's residence (as determined by Sponsors in their sole discretion) to one of the major gateway airports nearest Orlando, Florida*. Winner will be responsible for ground transportation to/from the airport at point of origin. 2). Non-exclusive ground transfers to/from the airport in Orlando, Florida and to/from the hotel and Universal Orlando®* ("UO"). 3). Hotel accommodations, room and tax only, for up to two (2) people in a maximum of one (1) room on-site at the Hard Rock Hotel® at Universal Orlando® (or another UO on-site hotel of UO's choosing), for four (4) consecutive days and three (3) nights. 4). Complimentary 3-Day 2-Park tickets for two (2) people good for admission to Universal Studios Florida and Universal's Islands of Adventure theme parks in Orlando, Florida. 5). The airing of a portion of Winner's Video to air on Oxygen during a commercial break in the finale of the Show scheduled to take place on August 31 (subject to change) at 10/9c. Estimated retail value of the Prize (ERV) is one thousand nine hundred twenty five dollars and fifty-five cents ($1925.55) (actual value may vary depending on departure date and location). Winner will receive an IRS Form 1099 from Sponsor for the total value of the Prize (or ERV of the applicable prizes) for the calendar year in which Prize was won. Sponsor will determine all Prize details in its sole discretion. Sponsor reserves the right to substitute a Prize (or Prize element) of comparable or greater value for any reason at Sponsor's sole discretion. All taxes and other unspecified expenses, costs, or fees associated with the acceptance and/or use of the Prize are the sole responsibility of Winner. Prize cannot be transferred by Winner or redeemed for cash and is valid only for the item detailed above, with no substitution by Winner. Airing of Winner's Video on Oxygen has no retail value and the details of such airing, if any, shall be determined by Sponsor in its sole discretion.

*Airfare and ground transportation portions of the Grand Prize package are void if Grand Prize winner resides in Florida. Instead, Grand Prize winner will receive one (1) complimentary UO parking pass valid for three (3) consecutive days.

The Prize must be awarded by August 21, 2009 and Winner must complete trip by August 21, 2010. Blackout dates or other restrictions may apply as dictated by airline and/or hotel. Winner travel arrangements must be made a minimum of sixty (60) days prior to winner travel and are subject to availability. All elements of the Prize must be booked and redeemed at the same time, and no changes shall be permitted after confirmation. Winner must be 21 years of age or older in order to check in to on-site hotel. Travel arrangements must be made through Sponsor's agent, on a carrier of Sponsor's choice. Winner and Guest must travel together on the same itinerary, including the same departure date and return date, and must have valid travel documents (e.g., valid government issued photo ID and/or passport) prior to departure. Failure to secure the necessary travel documents will result in forfeiture of Prize and time permitting, the runner-up Entrant with the next highest score as determined by the Judges may be selected as an alternate potential Winner. Prize cannot be transferred by Winner or redeemed for cash and is valid only for the items detailed above, with no substitution of Prize by Winner. If Prize is unclaimed within a reasonable time after notification from Sponsor, as determined by Sponsor in their sole discretion, it will be forfeited, and time permitting, the runner-up Entrant with the next highest score as determined by the Judges may be selected as an alternate potential Winner. Exact travel dates will be determined by Sponsor in its sole discretion. If Winner is unable to travel during the dates specified by Sponsor, Prize will be forfeited and time permitting, Sponsor may, in their sole discretion award Prize to the runner-up Entrant with the next highest score as determined by the Judges may be selected as an alternate potential Winner. Travel and hotel arrangements will be determined by Sponsor in their sole discretion. Once determined, no change, extension, or substitution of travel dates and/or times is permitted, except by Sponsor in its sole discretion. Prize consists only of the elements set forth above. No other travel elements (including, without limitation, ground transportation (except as listed above), insurance, gasoline, meals, gratuities, and souvenirs) are included in Prize. All taxes and fees assessed at the time of ticketing are the responsibility of Winner. Tickets are non-refundable. Reservations are subject to availability. Tickets are not valid for business-related or group travel. Tickets are valid only for travel on airline chosen by Sponsor in their sole discretion. Tickets will be issued only to Winner and Guest. Tickets are void if sold for cash or other consideration. Winner is responsible for any tax liability (including applicable departure taxes or fees, including baggage fees), inspection charges, and security charges. Once issued, tickets are non-transferable and may not be reissued once travel has commenced. Open tickets may not be issued and stopovers are not permitted. Travel may not be combined with any other offer and may not qualify for frequent flyer miles or hotel points. All travel will be at the risk of Winner and Guest. Sponsor will not replace any lost or stolen tickets, vouchers, or certificates. All elements of Prize must be redeemed at the same time. In the event of an act of God or an unforeseen, uncontrollable event, Sponsor reserves the right to reschedule all travel for a later date.

Sponsor shall have no responsibility or liability for cancellations, delays, or any other change by any company or person providing any element of Prize due to reasons beyond Sponsor's control, and are not responsible or liable for any expenses incurred as a consequence thereof. If Winner chooses to travel to Orlando, FL with no Guest, the remaining elements of Prize shall be awarded and shall constitute full satisfaction of Sponsor's Prize obligation to Winner and no additional compensation will be awarded. Guest may be required to execute and return a release of liability and, where legal, a publicity release (collectively, "Guest Documents"), which must be returned with the Contest Documents, or Guest portion of the Prize will be forfeited. If Guest is a minor, Winner must be such minor's parent or legal guardian and must execute and return the Guest Documents on such minor's behalf. Trips are non-transferable and have no cash value. All unclaimed and/or unused prize packages, will remain the property of UO and may not be used as sales or trade incentive for employees of Sponsor and may not be sold, exchanged or otherwise transferred by winner, nor used by Sponsor, its agencies or clients.

All the tickets are valid during normal operating hours only. Operating hours and availability of attractions and shows are subject to change without notice. Some special events may be separately ticketed. UO reserves the right to change the name of all tickets. All tickets specifically exclude admission to special or separately ticketed "hard ticket" entertainment events at either of the theme parks, hotels, or within any of the Universal CityWalk venues such as Hard Rock Live® and the Blue Man Group show.

CONDITIONS: By entering the Contest, each contestant agrees for contestant and for contestant's heirs, executors and administrators (a) to release and hold harmless Sponsor, NBC Universal, Inc., Universal City Development Partners, Ltd. and their respective parent, subsidiary, and affiliate companies and administrative, advertising, and promotion agencies and any other entity involved in the development, administration, promotion, or implementation of the Contest, and their respective officers, directors, and employees (collectively, "Released Parties") from any liability, illness, injury, death, loss, litigation or damage that may occur, directly or indirectly, whether caused by negligence or not, from such contestant's participation in the Contest and/or his/her acceptance, possession, use, or misuse of a prize, or any portion, thereof (including any travel related thereto); (b) to indemnify Released Parties from any and all liability resulting or arising from the Contest and to hereby acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize, including express warranties provided exclusively by the prize supplier that are sent along with a prize; (c) if selected as a Winner, to the posting of such contestant's name on www.oygen.com/dance ("Oxygen Website") and the use by Released Parties of such name, voice, image, and/or likeness in any and all media now or hereafter known without additional compensation, notification, permission or approval and, upon request, to the giving of consent, in writing, to such use; and (d) to be bound by these Official Rules and to waive any right to claim any ambiguity or error therein or in the Contest itself, and to be bound by all actions of Sponsor and Judges, whose decisions are final and binding. Failure to comply with these conditions may result in disqualification from the Contest.

ADDITIONAL TERMS: Sponsor reserves the right to terminate the Contest or permanently disqualify from any promotion any person they believe has intentionally violated these Official Rules. Any attempt to deliberately damage the Contest or the operation thereof is unlawful and subject to legal action by Sponsor, who may seek damages to the fullest extent permitted by law. Sponsor reserves the right to cancel, suspend or modify the Contest or any element thereof (including, without limitation, these Official Rules) without notice in any manner and for any reason (including, without limitation, in the event of any unanticipated occurrence that is not fully addressed in these Official Rules). In the event of cancellation, modification or suspension, Sponsor reserves the right to select a Winner, as applicable, and award the Prize in its sole discretion from among all eligible, non-suspect Entries received prior to the time of the event warranting such cancellation, modification or suspension based on the Judging Criteria described above. Notice of such cancellation, modification or suspension will be posted on the Oxygen Website. Sponsor may prohibit any contestant or potential contestant from participating in the Contest, if such contestant or potential contestant shows a disregard for these Official Rules; acts with an intent to annoy, abuse, threaten, or harass any other contestant, Sponsor, or agents or representatives of Sponsor; or behaves in any other disruptive manner (as determined by Sponsor in its sole discretion). The manner and duration of posting on the Website or on any other website or in any other venue of Entries, including Videos, photos, and any other relevant information as determined by Sponsor in its sole discretion are at the sole discretion of Sponsor. You grant to Sponsor the right to alter and/or edit your Entry or any portion thereof. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities (excepting compliance with applicable codes and regulations), or other "force majeure" event will not be considered a breach of these Official Rules.

Released Parties assume no responsibility for any injury or damage to contestants' or to any other person's computer relating to or resulting from entering or downloading materials or software in connection with the Contest. Released Parties are not responsible for telecommunications, network, electronic, technical, or computer failures of any kind; for inaccurate transcription of Entry information; for errors in any publicity, promotional, advertising or marketing materials or in these Official Rules; for any human or electronic error; or for Entries that are stolen, misdirected, garbled, delayed, lost, late, damaged, returned, corrupted or postage due.

DISPUTES: THE CONTEST IS GOVERNED BY AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW YORK, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN NEW YORK, NEW YORK. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC. IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF ("JAMS RULES"). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN NEW YORK. ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN THE COUNTY OF NEW YORK. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY'S FEES OR SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.
